Terms of Service
Effective 26 October 2026 · Orco App Studio · admin@orcoappstudio.com
These terms are an agreement between you and Orco App Studio (“we”, “us”) for your use of Clipwine: the website at clipwine.jon.systems and the Clipwine iOS app (together, the “Service”). By creating an account or using the Service you agree to them. Please also read our Privacy Policy, which explains how we handle personal data.
1. Eligibility and your account
- You must be at least 13 years old. If you are under 18, you need the permission of a parent or guardian, who accepts these terms for you.
- If you use the Service for a business or other organisation, you confirm you are authorised to accept these terms for it.
- Give accurate account details, keep your password secret and tell us at admin@orcoappstudio.com if you think your account has been misused. You are responsible for activity on your account.
2. The Service
Clipwine lets you upload videos or import them from a link, then watch, search, transcribe and analyse them and render short clips. Some features use AI to produce transcripts, captions, summaries, highlights and suggestions; these can be inaccurate, so check them before you rely on or publish them. We may change, add or remove features, and the Service may sometimes be unavailable for maintenance or for reasons outside our control.
3. Your content
You keep ownership of the videos you upload or import and of the clips you make (“your content”). You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transcode, transcribe, analyse, display and transmit your content, only as needed to provide the Service to you and to the people you choose to share it with, to keep the Service secure, and to comply with the law. This licence ends when your content is deleted from the Service, except for copies in short-lived backups and anything we must keep for legal reasons.
We do not sell your content, use it for advertising, or use it to train AI models.
4. Content rights: you must have permission
You may only upload, import, clip or share content that you have the right to use. In particular:
- you must own the content, or have the permission of everyone who owns rights in it (including the creator, any people who appear in it and the owners of any music or other material it contains), to copy it, edit it into clips and publish those clips where you intend to;
- imported streams (for example from Twitch, Kick or YouTube) may only be imported if the channel is yours, or the channel owner has authorised you to clip and republish their content. Importing other people’s streams without permission is not allowed;
- on request, you must be able to show us proof of channel ownership or of your authorisation (for example access to the channel, or a written licence from its owner). We may suspend content or accounts while we check;
- you are responsible for following the terms of the platform you import from.
5. Acceptable use
You must not use the Service to:
- infringe anyone’s copyright, trade marks, privacy or other rights;
- upload or share content that is illegal, sexually exploits children, promotes terrorism or violence, is harassing, hateful or defamatory, or that you have no right to share;
- break the law, including data protection law (for example by publishing other people’s personal data without a lawful basis);
- break, probe or overload the Service, get around its limits or security, access other people’s content or accounts, or scrape it with automated tools; or
- resell or provide the Service to others without our written permission.
We may remove content or limit access where we reasonably believe these terms have been broken.
6. Copyright complaints
If you believe content on Clipwine infringes your copyright, email admin@orcoappstudio.com with: your contact details; the work you own; where the content is on Clipwine (a link or enough detail to find it); a statement that you believe in good faith the use is not authorised; and a statement that your notice is accurate and that you own the rights or are authorised to act for the owner. We will review the notice, remove or disable access to infringing content where appropriate, and tell the user who added it. If your content was removed and you believe that was a mistake, reply to us with your explanation and we will review it. We will close the accounts of people who repeatedly infringe.
7. Third-party platforms
The Service can hand your clips to other apps and platforms, such as TikTok, Instagram, YouTube, Snapchat, X and CapCut, and can import from platforms such as Twitch and Kick. Those platforms are run by other companies, and your use of them is governed by their own terms and privacy policies, not ours. We are not responsible for them, and what happens to a clip after you post it elsewhere is between you and that platform. Sharing to TikTok uses TikTok’s Share Kit; see section 6 of our Privacy Policy.
8. Our rights
The Service itself (its software, design and brand, excluding your content) belongs to us or our licensors. You may use it as these terms allow, but you get no other rights in it. If you send us feedback, we may use it without owing you anything.
9. Disclaimers
The Service is provided “as is” and “as available”. While we work to keep it reliable, we do not promise that it will be uninterrupted or error-free, that AI output will be accurate, or that content will never be lost. Keep your own copies of anything important. Nothing in these terms affects your statutory rights as a consumer.
10. Limitation of liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law. Subject to that:
- we are not liable for losses that were not reasonably foreseeable, or for loss of profits, revenue, business, goodwill or data;
- if you use the Service for business purposes, our total liability to you is limited to the greater of the amount you paid us in the 12 months before the claim and £100;
- we are not responsible for content you or other users upload, import or share, or for third-party platforms.
You are responsible for your content and how you use it, and if you use the Service for business purposes you agree to compensate us for claims and losses that arise because your content infringes someone’s rights or because you broke these terms.
11. Ending your use
You can stop using the Service and ask us to delete your account at any time by emailing admin@orcoappstudio.com (see section 9 of our Privacy Policy). We may suspend or close your account if you seriously or repeatedly break these terms, if the law requires it, or if we stop providing the Service; where reasonable we will tell you first and give you a chance to download your content. Sections 3 (to the extent needed to delete your content), 6, 9, 10 and 13 continue after your account ends.
12. Changes to these terms
We may update these terms, for example when we change the Service or the law changes. We will post the new version here with a new effective date, and if the changes are significant we will tell you in the Service or by email before they apply. If you keep using the Service after they apply, the new terms apply to you; if you don’t agree, stop using it and ask us to delete your account.
13. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you live elsewhere in the UK or in the EU as a consumer, you can also rely on the mandatory consumer protections of the place you live and bring proceedings there.
